This includes consultation sessions, project-based work, and retainer agreements. We have established this policy to ensure clarity, fairness, and efficient scheduling for all clients while protecting the time and resources allocated to each engagement.
Services that may be subject to cancellation or rescheduling include:
  • Initial consultation sessions (30-minute or 60-minute appointments)
  • Project implementation and digital services work
  • Ongoing retainer and recurring service agreements
Consultation Cancellations & Rescheduling
Clients who book a consultation via the website calendar may reschedule or cancel their appointment according to the following rules:
Rescheduling with notice:
  • Consultations may be rescheduled without penalty if notice is provided at least 24 hours before the scheduled appointment time
  • We will work with you to find an alternative time that accommodates both parties
Late cancellations and no-shows:
  • Cancellations made with less than 24 hours notice may be subject to a cancellation fee or may result in the consultation being counted as used if payment has already been processed
  • No-shows (failure to attend a scheduled consultation without prior notice) will be treated as a completed session, and no refund or rescheduling will be offered
  • In cases of genuine emergency or extenuating circumstances, exceptions may be considered on a case-by-case basis

Project / Implementation Cancellations
For project-based work and implementation services, cancellation terms depend on the stage of the project:
Before work has started:
  • If you cancel before any work has commenced and before the project start date, the invoice can be voided or cancelled
  • No charges will apply if cancellation occurs before work begins and before resources have been allocated
After work has started:
  • If work has already begun, cancellation is possible, but all completed work and time invested up to the point of cancellation remains billable
  • You will receive an adjusted invoice reflecting the work completed, hours logged, and any deliverables provided
  • Any discovery, planning, or setup work that has been completed is considered delivered work and is non-refundable
Non-refundable components:
  • Initial discovery sessions, requirement gathering, and project setup work are considered non-refundable once completed, as these represent time and expertise already delivered
  • Any third-party costs incurred on your behalf (software licenses, subscriptions, or services purchased specifically for your project) are non-refundable
Refund Principles
Refund eligibility is determined based on the nature of the service, whether work has commenced, and what has been delivered:
  • Refunds are evaluated on a case-by-case basis and depend on whether work has started and what deliverables have been provided
  • Delivered work, including completed reports, configurations, strategic documents, implemented solutions, and logged consultation or project hours, is non-refundable
  • If you are eligible for a refund based on the terms outlined in this policy, refunds will be processed to the original payment method
  • Refund processing typically takes 5–10 business days from the date of approval, though the exact timing may depend on your financial institution
  • Partial refunds may be issued when a portion of the work has been completed but the full scope has not been delivered

Retainers / Recurring Services
For clients engaged in retainer or recurring service agreements, the following cancellation terms apply:
  • Retainers are billed monthly in advance for the upcoming service period
  • Cancellation of a retainer agreement must be requested in writing at least 7 days before the next billing period begins
  • If cancellation notice is provided with adequate advance notice, no further charges will be applied for subsequent months
  • Work already performed during the current billing period remains billable and is non-refundable
  • Unused hours or services within the current billing period do not carry over and are not refundable upon cancellation
  • After cancellation, any outstanding invoices for completed work must be settled before the agreement is considered fully terminated

Exceptions / Force Majeure
Elyvia LLC (Elyvida) is not liable for delays, cancellations, or inability to perform services due to circumstances beyond our reasonable control. These circumstances may include, but are not limited to:
  • Technical failures, system outages, or internet connectivity issues affecting either party
  • Natural disasters, public health emergencies, or government-mandated restrictions
  • Unforeseen personal emergencies affecting key personnel
In such cases, we will make reasonable efforts to reschedule services or provide alternative solutions. Clients will not be charged for services that cannot be delivered due to force majeure events, and we will work collaboratively to resume services as soon as circumstances permit.
